This session will provide an overview of the current state of the domestic and global economy, and explore the implications for businesses and investors.

Numbers and Narratives

The world of investing/finance is divided into two camps. In one, you have the number crunchers, who believe that the only things that matter are the numbers and that imagination/creativity are dangerous distractions. In the other, you have the story tellers, who build on the stories they tell about companies and how these stories will bring untold wealth. Each side believes it has a monopoly on the truth and looks with contempt at the other. In my view, both sides are right and both sides are wrong. Stories matter, but only if they are connected with numbers, and numbers are empty, unless they are connected with narratives. In this session, I look at the process by which you build narratives, check them against reality and convert them into valuations. I use Uber, Apple and Twitter to illustrate the process.

Taking a Deeper Dive into the Lost Profits "But-For" World

The presentation will dive deeper into the four reorganized methods that economic damages experts commonly use to calculate lost profits: the before-and-after method, the yardstick method, the sales projection method, and the market share method. The presentation will guide the lost profits expert to which method to choose; what information and/or documentation s/he needs for each method; and the court cases that support the use of each method. “Tricks and traps” included in each method will be covered.

Dealing with Noise: Valuation and Investing in the Face of Uncertainty
Aswath Damodaran, Ph.D - Stern School of Business at New York University
Uncertainty is a fact of life in business and investing, but the responses that analysts and investors have to uncertainty is often unhealthy, ranging from denial and paralysis, at one extreme, to rules of thumb that have no basis in common sense, at the other. In this session, I look at how uncertainty is embedded in all valuations, though the amount of uncertainty you face will vary across companies, countries and across time. I categorize uncertainty into groups, estimation versus economic, micro versus macro and discrete versus continuous, and argue that each grouping needs a different response. Finally, I develop tools that you can use to get a handle on uncertainty and deal with it better in valuation.

When a Daubert Challenge or Motion in Limine is denied, frequently the judge states the issue goes to credibility. What is credibility? We are frequently requested to write rebuttal reposts to contradict the opposing expert. However, attorneys are increasingly asking for review/critiques on the credibility of the opposing expert in addition. This presentation will present the elements of credibility and how to review opposing reports resulting in your conclusion as to credibility.

His forensic analysis and litigation support experience includes commercial and matrimonial litigation, asset tracing, bankruptcy, fraud, economic damage assessment and oppressed shareholder engagements.

Aswath Damodaran

Aswath Damodaran, PhD

Aswath Damodaran is a Professor of Finance at the Stern School of Business at New York University. He teaches corporate finance and valuation courses in the MBA program as well as occasional short-term classes around the world on both topics. Dr. Damodaran received his MBA and Ph.D degrees from the University of California at Los Angeles. His research interests lie in valuation, portfolio management and applied corporate finance. His papers have been published in the Journal of Financial and Quantitative Analysis, the Journal of Finance, the Journal of Financial Economics and the Review of Financial Studies.

Dr. Damodaran has been with NYU since 1986 and has been awarded the Stern School of Business Excellence in Teaching Award multiple times. He has also been profiled in Business Week as one of the top twelve business school professors in the United States in 1994. More recently in Business Week’s 2011 poll, Dr. Damodaran was named the most popular business school professor in the country.

He is a senior shareholder in Gold Gerstein Group LLC, an accounting and business valuation firm (www.g3cga.com) with offices in Moorestown and Voorhees, N.J. He is a member of the American Institute of CPAs, the New Jersey Society of CPAs, Expert Resource Connection, LLC and is a past chairman of the Forensic, Valuation and Litigation Services Committee of the New Jersey Society of CPAS. Don has provided testimony in business valuation for a variety of matters as well as in matrimonial, minority stockholder, and economic damages litigation and has been qualified as an expert witness by the federal and state courts. He also specializes in federal and state. multi—state and matrimonial taxation, as well as tax nexus issues.

Don has chaired and been a frequent speaker and panelist at various national and international conferences and webinars as well as state and local seminars conducted by the AICPA, the NJSCPA, the PICPA, the Florida Institute of CPAs, the American Bar Association, Integra International, Inc., the New Jersey Administrative Office of the Courts, the International Academy of Matrimonial Lawyers and the New Jersey Institute for Continuing Legal Education covering business and professional practice valuation, forensic accounting and federal taxation. Karin Kimbrough is a managing director and head of the macro and economic policy effort for Merrill Lynch Wealth Management within Global Wealth & Investment Management (GWIM) division of Bank of America. In this role, she is responsible for providing economic and financial insight, as well as strategic analysis, to enhance and shape the team’s market views and deliver the best investment insights to advisors. She brings a wide range of experience in monetary policy, financial markets, and macroeconomics. Ms. Kimbrough has held various senior roleswith responsibility for financial and monetary analysis, quantitative research of asset valuations and macroeconomic trends.

Before joining Bank of America Merrill Lynch, she served as a director in the Federal Reserve Bank of New York’s Markets group, where she founded and led the Financial Stability function. While at the Federal Reserve, she also managed the foreign exchange trading staff, the quantitative analytics team, and was a frequent author of reports on trends in asset valuation, financial innovation, leverage, and financial conditions. Ms. Kimbrough also represented the Federal Reserve on numerous key interagency councils and committees. Prior to the Fed, she worked for Morgan Stanley and the World Bank.

She earned a PhD in Economics from the University of Oxford, a Master in Public Policy from the Harvard Kennedy School, and a Bachelor of Arts in Economics, and French and English Literature from Stanford University.

Hubert Klein is a Partner and Practice Leader for the Financial Advisory Services Group in the firm’s New Jersey location. With over 30 years of experience, Hubert is, frequently called upon as a technical resource in various litigation actions. He has consulted and provided services in matters including complex damages, business valuations, due diligence analysis, fraud and forensic investigations, lost profit calculations, shareholder disputes, insurance claims analysis, bankruptcy and matrimonial proceedings.

In addition, Hubert has served as an agreed-upon neutral expert and as an expert witness appointed by judges in the types of matters listed above; and to issue reports for the courts on these cases. He has been appointed by various courts to serve as a Receiver, Provisional Director, Special Fiscal Agent, and Court’s Independent Forensic Auditor in various civil litigation matters. He has experience in providing traditional accounting services, such as financial statement and tax return preparation, financial analysis, and consulting services for closely held businesses.

As a strong proponent of professional development, Hubert frequently speaks to both business and civic groups on topics such as business valuation, forensic accounting, commercial damages and fraud. He has presented to both regional and national organizations.

Hubert is an active member of the American Institute of Certified Public Accountants (AICPA) where he served on the Forensic and Litigation Services Executive Committee, Fraud Task Force; Forensic, and the Valuation Conference Committee and received the Volunteer of the Year award. In addition, the National Association of Certified Valuation Analysts recognized Hubert as Outstanding Member for extraordinary committee participation and service.

Dermot O'Neill

P. Dermot O’Neill is a CPA with over 40 years of public accounting experience. Dermot’s practice concentrates in the areas of forensic accounting, litigation support, business valuation, transaction consulting, financial analysis, and income taxation. He has provided consulting and expert witness assistance in cases involving oppressed shareholders, personal injury, wrongful death, accounting malpractice, as well as contract and tort issues. He has testified as an expert in Pennsylvania, New Jersey, Delaware, Florida, New York, Connecticut, Virginia, Colorado, the Chancery Court of Delaware as well as Federal Bankruptcy Court and Federal District Courts.

He was the Managing Editor of the National Litigation Consultants’ Review for which he has written numerous articles. In addition, he is a member of the Financial Forensic Institute’s (FFI) Advance Litigation Program Development Team, helping to create content for the Master Analyst in Financial Forensics (MAFF) credential and serving as a national instructor in the program. He is a member of the Extension Faculty of the National Judicial College, Reno, NV.

Dermot is an adjunct instructor at Rider University College of Business Administration, Graduate Studies and Drexel University Lebow College of Business, Graduate Programs. He has been an adjunct lecturer at Villanova University School of Business as well as a guest lecturer at the Widener University and Lehigh University Graduate Schools of Business. For ten years, he was a member of the National Faculty of the American Institute of CPAs presenting week long accounting and auditing staff training programs. He has presented continuing professional education seminars and webinars sponsored by various state accounting institutes and societies, bar associations and universities as well as legal groups such as the Defense Research Institute. He received his B.S. in Economics from Villanova University.

Leslie Solomon

Leslie M. Solomon, CPA/ABV/CFF, ASA, is a shareholder in Rotenberg Meril Solomon Bertiger & Guttilla, P.C., where he is responsible for the firm's business valuation and litigation support services. He handles all matters of accounting, auditing and taxes, with special emphasis in business valuation and the accounting, auditing and income tax consequences of forensic matters. Mr. Solomon has been providing expert testimony and litigation consulting services to trial attorneys and their clients in New York and New Jersey for more than 25 years. He oversees all of the firm's business valuation and forensic accounting engagements, along with the dedicated professionals in his group. Mr. Solomon has been qualified as an expert in courts in New Jersey and New York and is a member of the New Jersey Society of Certified Public Accountants (NJCPA) and its Litigation Support Services Committee, the American Institute of Certified Public Accountants, the American Society of Appraisers, the Institute of Business Appraisers, and the Financial Consulting Group. Additionally, he has served as chairman of the NJCPA Valuation/Litigation Support Services Interest Group. Mr. Solomon received a bachelor's in accounting from the University of Connecticut.
